Terms of Service

§1. Definitions

The following terms used in these Terms of Service shall have the meanings set forth below:

  1. Service Provider / Administrator – Warszawskie Centrum Obsługi Biznesu sp. z o.o., with its registered office at al. Jana Pawła II 27, 00-867 Warsaw, Poland, entered in the National Court Register under KRS number: 0000472882, NIP (Tax ID): 527-269-88-85, REGON: 146827166.
  2. Website – the ConsentGuards internet platform available at consentguards.com including all subpages.
  3. Service – an electronic service consisting of providing a technical cookie consent management engine (Consent Management Platform) and related tools.
  4. User – a natural person, legal entity, or organizational unit without legal personality that uses the Service.
  5. Account – a collection of resources and permissions in the Website's IT system, assigned to a specific User.
  6. Plan – the Service variant selected by the User (Free, Starter, Agency, White-label) defining the scope of functionality and limits.
  7. Domain – the address of the User's website on which the ConsentGuards script is implemented.
  8. Terms – this document defining the rules for providing the Service.

§2. General Provisions

  1. These Terms define the rules for providing electronic services by the Service Provider to Users.
  2. The condition for using the Service is reading and accepting these Terms.
  3. The Service Provider provides the Service in accordance with these Terms and applicable Polish and European Union law.

§3. Type and Scope of Service

  1. ConsentGuards is a technical cookie consent management engine (CMP - Consent Management Platform) that enables:
    • blocking analytics and marketing scripts until user consent is obtained,
    • displaying a cookie information banner,
    • managing consents in Google Consent Mode v2,
    • integration with popular tools (Google Analytics, Google Ads, Meta Pixel, TikTok Pixel, LinkedIn, Hotjar, and others).
  2. The Service is purely technical and does not constitute legal advice or a guarantee of full compliance with GDPR or other regulations. Responsibility for website compliance with regulations lies with the User.
  3. The Service Provider offers the following Plans:
    • Free – free, 1 domain, with "Powered by ConsentGuards" link in banner,
    • Starter – paid, up to 5 domains, no promotional link,
    • Agency – paid, up to 100 domains, API access, management panel,
    • White-label – paid, individual pricing, custom branding.

§4. Technical Requirements

  1. To use the Website, the following is required:
    • a device with Internet access,
    • a current web browser (Chrome, Firefox, Safari, Edge),
    • an active email address.
  2. To implement the ConsentGuards script on the User's website, the ability to edit the HTML code of the page (adding a <script> tag) is required.

§5. Registration and Account

  1. Using the Service requires creating an Account through the registration form.
  2. During registration, the User provides an email address (business email – for the Free Plan, addresses from public domains such as gmail.com, yahoo.com, etc. are not accepted) and password.
  3. The User is obliged to provide true information.
  4. After registration, a verification link is sent to the provided email address. The Account is activated after clicking the link.
  5. The User is obliged to keep login credentials confidential. The Service Provider is not responsible for the consequences of sharing login credentials with third parties.
  6. One Account may be assigned to one User. Account sharing is prohibited unless the Plan provides for multi-user access.

§6. Payments

  1. The Free Plan is free and does not require providing payment details.
  2. Paid Plans (Starter, Agency, White-label) require payment according to the price list.
  3. Fees are charged in advance in monthly or annual cycles, depending on the selected option.
  4. Payments are processed by an external operator – Stripe. The Service Provider does not store credit card data.
  5. Prices shown on the Website are net prices. VAT is added according to applicable regulations.
  6. The User receives a VAT invoice electronically to the email address provided during registration.
  7. In case of non-payment, the Service Provider reserves the right to limit Account functionality to the Free Plan or suspend the Service.

§7. Plan Changes

  1. The User may change to a higher Plan (upgrade) at any time. The change takes effect immediately, and the fee is calculated proportionally.
  2. Changing to a lower Plan (downgrade) or canceling a paid Plan takes effect at the end of the current billing period.
  3. In case of downgrade to the Free Plan, the "Powered by ConsentGuards" link will be automatically displayed in the banner, and domains exceeding the Free Plan limit will be deactivated.

§8. User Rights and Obligations

  1. The User has the right to:
    • use the Service according to the selected Plan,
    • access the domain and configuration management panel,
    • receive technical support (scope depends on Plan),
    • cancel the Service at any time.
  2. The User is obliged to:
    • use the Service in accordance with the law and these Terms,
    • not use the Service for purposes contrary to the law,
    • not take actions that may disrupt the Website's operation,
    • not remove or modify the "Powered by ConsentGuards" link in the Free Plan,
    • ensure they have the right to implement the script on the indicated domains.

§9. Service Provider Rights and Obligations

  1. The Service Provider undertakes to:
    • provide the Service with due diligence,
    • ensure Website availability at a level not lower than 99% per month (excluding technical breaks and force majeure),
    • inform about planned technical breaks in advance,
    • protect User data in accordance with the Privacy Policy.
  2. The Service Provider reserves the right to:
    • temporarily suspend the Service for maintenance work,
    • modify Website functionality,
    • change the price list with a 30-day notice period for existing Users,
    • block an Account in case of Terms violation.

§10. Liability

  1. The Service Provider is not liable for:
    • the way the User uses the Service,
    • compliance of the User's website with legal regulations (GDPR, ePrivacy, etc.),
    • damages resulting from incorrect script implementation by the User,
    • Service interruptions caused by external factors (infrastructure failure, hacker attacks, force majeure),
    • data loss caused by User's action or omission.
  2. For paid Plans, the Service Provider's liability is limited to the amount of fees paid by the User in the last 12 months.
  3. Liability limitations do not apply to damages caused intentionally.

§11. Complaints

  1. The User may submit a complaint regarding the Service electronically to sales@consentguards.com or by mail to the Service Provider's registered office.
  2. The complaint should include:
    • User data (name, company name, email address),
    • description of the problem,
    • expected resolution method.
  3. The Service Provider processes the complaint within 14 business days of receipt and informs the User of the resolution.

§12. Withdrawal from Contract

  1. A User who is a consumer has the right to withdraw from the contract within 14 days from the date of contract conclusion without giving a reason.
  2. To exercise the right of withdrawal, a withdrawal statement should be sent to sales@consentguards.com.
  3. In case of withdrawal, the Service Provider will refund all payments received within 14 days of receiving the statement.
  4. The right of withdrawal does not apply if the Service has been fully performed with the consumer's express consent before the withdrawal period expires.

§13. Intellectual Property

  1. The Website, ConsentGuards script, documentation, and all materials provided as part of the Service constitute the intellectual property of the Service Provider and are protected by copyright.
  2. The User receives a non-exclusive, non-transferable license to use the ConsentGuards script within the selected Plan.
  3. Copying, modifying, decompiling, distributing, or reselling the script without the Service Provider's consent is prohibited.

§14. Personal Data Protection

  1. The administrator of Users' personal data is the Service Provider.
  2. Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and the Personal Data Protection Act.
  3. Detailed information on personal data processing is contained in the Privacy Policy.

§15. Final Provisions

  1. The Service Provider reserves the right to change these Terms. Users will be informed of changes electronically with 14 days' notice.
  2. If the User does not accept the changes, they may terminate the contract before the changes come into effect.
  3. In matters not regulated by these Terms, Polish law shall apply.
  4. Any disputes shall be resolved by the court competent for the Service Provider's registered office, subject to consumer rights to choose a court competent for their place of residence.
